Website Terms of Use

Important: These Website Terms of Use govern your use of citadelaero.com and its subdomains as a visitor or prospective customer. They are distinct from the CitadelAero SaaS Subscription Agreement, which governs the contractual relationship between JLEC Limited and paying customers. If you are a paying customer or trial user, your use of the CitadelAero platform is governed by the SaaS Subscription Agreement in addition to these terms.

1. Who we are and how to contact us

citadelaero.com and all associated subdomains (including demo.citadelaero.com and any operator subdomains such as [operator].citadelaero.com) are operated by JLEC Limited, a company incorporated in Jersey, Channel Islands (company number 165488), trading as CitadelAero ("we", "us", "our").

These Website Terms of Use ("Terms") govern your access to and use of citadelaero.com and all of its subdomains (together, "our Website"). By accessing or using our Website, you confirm that you accept these Terms and agree to be bound by them. If you do not agree, you must leave our Website immediately.

2. About CitadelAero and our services

CitadelAero is a B2B software-as-a-service (SaaS) provider. We develop and operate an aviation safety management system platform designed for use by aviation operators, including Air Operator Certificate holders, Part-145 Maintenance Repair Organisations, aerodromes, and corporate aviation operators.

Our Website is used for:

(a)providing information about our platform, features, and pricing to prospective customers;
(b)enabling prospective customers to sign up for a trial or purchase a subscription;
(c)providing access to the CitadelAero platform itself via operator subdomains; and
(d)providing access to a demonstration environment at demo.citadelaero.com for product evaluation purposes.

Our services are directed exclusively at businesses operating in the aviation sector. Our Website and platform are not intended for use by consumers or by individuals acting in a personal capacity outside of an aviation business context.

3. Accessing our Website

3.1 We do not guarantee that our Website, or any content on it, will always be available, uninterrupted, or error-free. We may suspend, withdraw, or restrict access to all or any part of our Website for business or operational reasons without notice.

3.2 You are responsible for ensuring that all persons who access our Website through your internet connection are aware of these Terms and other applicable policies, and that they comply with them.

3.3 You are responsible for making all arrangements necessary for you to have access to our Website. You are also responsible for ensuring that anyone who accesses our Website through your connection is aware of and complies with these Terms.

3.4 Your use of our Website must comply with all applicable laws and regulations. You must not use our Website in any way that causes, or may cause, damage to the Website or impairment of the availability or accessibility of the Website.

4. Intellectual property

4.1 Ownership. Our Website and all of its content — including but not limited to text, graphics, logos, icons, images, audio clips, data compilations, and software — are the property of JLEC Limited or its licensors and are protected by copyright, trade mark, and other intellectual property laws of the United Kingdom, Jersey, and applicable international frameworks. All rights are reserved.

4.2 Permitted use. You may access and view pages from our Website in a web browser, download pages for caching purposes, and print copies of pages for your own personal or internal business reference, provided you do not modify the downloaded or printed content in any material way and you retain all copyright and proprietary notices.

4.3 Restrictions. You must not:

(a)republish material from our Website (including republication on another website);
(b)sell, rent, or sub-licence material from our Website;
(c)reproduce, duplicate, copy, or otherwise exploit material on our Website for any commercial purpose without our express written consent;
(d)edit or otherwise modify any material on our Website;
(e)redistribute material from our Website (other than content specifically and expressly made available for redistribution); or
(f)systematically download or extract material from our Website using automated tools, scrapers, or bots.

4.4 Trade marks. "CitadelAero", our logo, and other marks displayed on our Website are trade marks or service marks of JLEC Limited. You are not permitted to use our trade marks without our prior written consent. Nothing on our Website grants any licence to use any trade mark displayed on it.

4.5 Feedback and submissions. If you submit ideas, suggestions, or feedback about our products or Website, you grant us a royalty-free, perpetual, irrevocable, worldwide licence to use and incorporate those submissions without any obligation to you.

5. Website content — accuracy and disclaimer

5.1 The content on our Website is provided for general information purposes only. While we take reasonable care to ensure that information on our Website is accurate and up to date, we make no representations, warranties, or guarantees, whether express or implied, that the content on our Website is accurate, complete, current, or free from errors or omissions.

5.2 In particular:

(a)Pricing information: Pricing displayed on our Website is indicative. The definitive pricing applicable to any subscription is confirmed at the point of sign-up or in an Order Form. We reserve the right to update pricing information on our Website at any time without prior notice.
(b)Feature descriptions: Descriptions of platform features and modules on our Website are for general information purposes. The definitive scope of features available under any subscription tier is as set out in the applicable SaaS Subscription Agreement.
(c)Regulatory information: Any information on our Website relating to aviation regulations, regulatory frameworks, or SMS requirements is provided for general background purposes only. It does not constitute regulatory advice and should not be relied upon as a statement of your regulatory obligations. You should seek independent regulatory advice for your specific circumstances.
(d)Technical documentation: Any technical documentation, guides, or help content on our Website may not reflect the most current version of the platform. Authoritative documentation for platform users is available within the platform itself.

5.3 Nothing on our Website constitutes legal, regulatory, financial, or professional advice of any kind. We expressly disclaim all liability for any reliance placed on information published on our Website.

6. The demonstration environment

6.1 A demonstration version of the CitadelAero platform is accessible at demo.citadelaero.com. The demonstration environment is made available for product evaluation purposes only, free of charge and without any contractual commitment.

Do not submit real personal data, real occurrence reports, or any sensitive operational data to the demonstration environment. The demonstration environment does not carry the same contractual protections, data isolation guarantees, or security controls as the live production platform. Data entered into the demonstration environment may be visible to CitadelAero personnel.

6.2 The demonstration environment:

(a)is provided on an "as is" basis without any warranties or service level commitments;
(b)may be reset, cleared, or taken offline at any time without notice;
(c)is not covered by the SaaS Subscription Agreement or any Data Processing Agreement unless separately agreed;
(d)should not be used for any live operational aviation safety management activities; and
(e)may be shared with multiple prospective customers concurrently.

6.3 By accessing the demonstration environment, you acknowledge and accept these limitations. We accept no liability for any loss, data loss, or reliance arising from your use of the demonstration environment.

6.4 If you enter any personal data into the demonstration environment and wish for it to be deleted, please contact privacy@citadelaero.com.

7. Acceptable use of our Website

7.1 You must not use our Website:

(a)in any way that violates any applicable local, national, or international law or regulation;
(b)to transmit, or procure the sending of, any unsolicited or unauthorised advertising or promotional material;
(c)to knowingly transmit any data, send or upload any material that contains viruses, Trojan horses, worms, time-bombs, keystroke loggers, spyware, adware, or any other harmful programs or similar computer code designed to adversely affect the operation of any computer software or hardware;
(d)to attempt to gain unauthorised access to our Website, the server on which our Website is stored, or any server, computer, or database connected to our Website;
(e)to attack our Website via a denial-of-service attack or a distributed denial-of-service attack;
(f)in any way that is unlawful, fraudulent, or harmful, or in connection with any unlawful, fraudulent, or harmful purpose or activity; or
(g)to reproduce, duplicate, copy, or resell any part of our Website in contravention of these Terms.

7.2 By breaching this clause 7, you may commit criminal offences under the Computer Misuse Act 1990 (as applicable) or equivalent legislation. We will report any such breach to the relevant law enforcement authorities and will co-operate fully with those authorities. In the event of such a breach, your right to use our Website will cease immediately.

8. Links to and from other websites

8.1 Links from our Website. Our Website may contain links to third-party websites, resources, or services. These links are provided for convenience only. We have no control over the content of those third-party sites and accept no responsibility for them or for any loss or damage that may arise from your use of them. The inclusion of a link does not imply our endorsement of the linked site or its content.

8.2 Links to our Website. You may link to our Website home page, provided you do so in a way that is fair and legal and does not damage our reputation or take advantage of it. You must not establish a link in such a way as to suggest any form of association, approval, or endorsement on our part where none exists. You must not establish a link to our Website in any website that is not owned by you, without the website owner's permission. We reserve the right to withdraw linking permission without notice.

8.3 Framing. You must not frame our Website on any other site, nor create a link to any part of our Website other than the home page, without our prior written consent.

9. Contact form

9.1 Our Website includes a contact form through which prospective customers and other visitors may submit enquiries to us. Submissions via the contact form are transmitted using Microsoft's email infrastructure (Microsoft Graph).

9.2 By submitting an enquiry via our contact form, you:

(a)confirm that you are an authorised representative of a business or organisation, or are enquiring on your own behalf in a professional capacity;
(b)acknowledge that your submission is not confidential and does not create any professional advisory or contractual relationship between us; and
(c)consent to us processing the personal data you provide in order to respond to your enquiry, in accordance with our Privacy Policy.

9.3 We aim to respond to genuine business enquiries within three (3) business days. We are not obliged to respond to every enquiry and reserve the right to decline or disregard submissions that are unlawful, offensive, or unrelated to our services.

10. Privacy and cookies

Your privacy is important to us. Any personal data we collect through your use of our Website is processed in accordance with our Privacy Policy. Our use of cookies and similar tracking technologies is explained in our Cookie Policy.

By using our Website, you acknowledge that you have read and understood our Privacy Policy and Cookie Policy.

11. Disclaimer of warranties

11.1 Our Website is provided on an "as is" and "as available" basis. To the fullest extent permitted by applicable law, we exclude all warranties, conditions, representations, and other terms which may apply to our Website or any content on it, whether express or implied, including:

(a)any implied warranties of satisfactory quality, fitness for a particular purpose, or non-infringement;
(b)any warranty that our Website will be available on a continuous or uninterrupted basis, or free from errors, defects, or viruses;

11.2 These Terms do not affect your statutory rights. Nothing in these Terms limits or excludes our liability for fraud or fraudulent misrepresentation, or for any other liability that cannot be excluded or limited under applicable law.

12. Limitation of liability

12.1 To the fullest extent permitted by applicable law, we exclude all liability to you arising out of or in connection with your use of, or inability to use, our Website or any content on it. This includes, without limitation, liability for:

(a)loss of profits, revenue, or business;
(b)loss of savings or anticipated savings;
(c)loss of data or information;
(d)loss of goodwill or reputation; and
(e)any indirect, incidental, special, or consequential loss.

12.2 We will not be liable for any loss or damage caused by a distributed denial-of-service attack, viruses, or other technologically harmful material that may infect your computer equipment, computer programs, data, or other proprietary material due to your use of our Website or to your downloading of any content on it, or on any website linked to it.

12.3 Our total aggregate liability to you in connection with your use of our Website (other than as a paying subscriber under the SaaS Subscription Agreement) shall not exceed £500 in any twelve-month period.

12.4 Nothing in these Terms limits or excludes our liability for: (a) fraud or fraudulent misrepresentation; (b) death or personal injury caused by our negligence; or (c) any other liability that cannot be excluded or limited by applicable law.

12.5 If you are a paying customer, your use of the CitadelAero platform is governed by the SaaS Subscription Agreement, which contains its own limitation of liability provisions. In the event of any conflict between these Terms and the SaaS Subscription Agreement in relation to the platform, the SaaS Subscription Agreement prevails.

13. Viruses and security

13.1 We do not guarantee that our Website will be secure or free from bugs or viruses. You are responsible for configuring your information technology, computer programmes, and platform in order to access our Website, and you should use your own virus protection software.

13.2 If you believe that our Website has been compromised or you have discovered a security vulnerability, please report it to us immediately at security@citadelaero.com. We ask that you do not publicly disclose any security vulnerability before giving us a reasonable opportunity to investigate and address it.

14. Changes to our Website and these Terms

14.1 Changes to our Website. We may update or amend our Website at any time. We do not guarantee that our Website, or any content on it, will be free from errors or omissions following any update.

14.2 Changes to these Terms. We may revise these Terms at any time by updating this page. You should check this page regularly to notice any changes we have made, as they are binding on you. The date at the top of this page will be updated to reflect any changes. Continued use of our Website after revised Terms have been published constitutes acceptance of those revised Terms.

14.3 Withdrawal of our Website. We reserve the right to withdraw or discontinue citadelaero.com or any part of it at any time. We will not be liable to you if, for any reason, our Website is unavailable at any time or for any period.

15. Governing law and jurisdiction

15.1 These Terms and any dispute or claim arising out of or in connection with them or their subject matter or formation (including non-contractual disputes or claims) shall be governed by and construed in accordance with the law of England and Wales.

15.2 The courts of England and Wales shall have exclusive jurisdiction to settle any dispute or claim arising out of or in connection with these Terms or their subject matter or formation. However, if you are a resident of Northern Ireland, Scotland, or a member state of the European Union, you may also bring proceedings in the courts of your country of habitual residence.

16. General

16.1 Entire agreement. These Terms, together with our Privacy Policy and Cookie Policy, constitute the entire agreement between you and us relating to your use of our Website. They supersede all previous agreements, representations, and understandings between you and us in relation to such use.

16.2 Severance. If any provision of these Terms is found to be invalid or unenforceable, it shall be deemed deleted and the remaining provisions shall continue in full force and effect.

16.3 Waiver. Our failure at any time to enforce any provision of these Terms shall not constitute a waiver of that provision or of our right to enforce it at a later time.

16.4 Third party rights. These Terms are not intended to benefit any third party, and no third party shall have any right to enforce any provision of these Terms under the Contracts (Rights of Third Parties) Act 1999.

16.5 Relationship. Nothing in these Terms creates or shall be deemed to create a partnership, joint venture, agency, employment, or franchise relationship between you and us.

(c)SaaS Subscription Agreement — the contractual terms governing paying customers and trial users, provided directly by CitadelAero upon subscription rather than published on this Website
(d)Data Processing Agreement — GDPR Article 28 agreement governing our processing of personal data on behalf of operator customers

In the event of any conflict between these Website Terms of Use and the SaaS Subscription Agreement, the SaaS Subscription Agreement shall prevail in respect of the platform and the contractual relationship between the parties.
